1. Agreement to Terms

By accessing our website or engaging our services, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be legally bound by them. If you are accessing the site on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Our Services

Bigmonks Technologies provides a range of IT consulting and software development services including, but not limited to:

• Mobile and web application development
• UI/UX design and user research
• Cloud architecture and infrastructure services
• AI & Machine Learning solutions
• IT training, internship programs, and digital transformation consulting

All services are subject to a separate written agreement or Statement of Work (SOW) agreed upon between Bigmonks Technologies and the client.

3. Intellectual Property

The website and its original content, features, and functionality are and will remain the exclusive property of Bigmonks Technologies. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Bigmonks Technologies.

Work product created specifically for a client under a paid engagement is subject to the ownership terms defined in the applicable project agreement or SOW. In the absence of such an agreement, all intellectual property created by Bigmonks Technologies remains the property of Bigmonks Technologies until full payment is received.

4. User Responsibilities

When using our website and services, you agree not to:

• Use the site in any way that violates any applicable national or international law or regulation.
• Transmit any unsolicited or unauthorised advertising or promotional material, or any other form of spam.
• Attempt to gain unauthorised access to any portion of the site or any systems connected to it.
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the site.
• Use the site to copy, reproduce, or reverse-engineer any part of our software or services.

5. Payment & Billing

For paid services:

• Payment terms are specified in the applicable project agreement or invoice. Unless otherwise agreed, an initial deposit may be required before work commences.
• All fees are non-refundable unless explicitly stated in the project agreement.
• Late payments may attract interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less.
• Prices are quoted in the currency specified on the invoice and do not include applicable taxes unless stated.

6. Confidentiality

Each party agrees to keep confidential all non-public information of the other party that is disclosed in connection with the services, and to use such information solely for the purpose of performing under any applicable agreement. This obligation does not apply to information that becomes publicly available through no breach of this agreement, or that is independently developed by the receiving party.

7. Disclaimer of Warranties

Our website and services are provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied, including but not limited to:

• Implied warranties of merchantability or fitness for a particular purpose.
• Any warranty that the site will be uninterrupted, error-free, or free of viruses or other harmful components.
• Any warranty regarding the accuracy or completeness of content on the site.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Bigmonks Technologies, its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, or goodwill, arising out of or in connection with your access to or use of (or inability to access or use) our website or services, even if we have been advised of the possibility of such damages.

Our total liability for any claims under these Terms shall not exceed the total amount paid by you to Bigmonks Technologies in the three (3) months preceding the event giving rise to such claim.

9. Termination

We may terminate or suspend your access to our website or services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the site and services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including intellectual property provisions, warranty disclaimers, and limitations of liability.

10. Links to Third-Party Sites

Our website may contain links to third-party websites that are not owned or controlled by Bigmonks Technologies. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites. We strongly advise you to read the terms and privacy policy of any third-party site that you visit.

11. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws applicable based on the primary place of service delivery:

• India: The laws of the Republic of India, and the courts of Ernakulam, Kerala shall have jurisdiction.
• Canada: The laws of the Province of Nova Scotia, and the courts of Nova Scotia shall have jurisdiction.

Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to binding arbitration.

12. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. We will notify you of significant changes by updating the "Last updated" date at the top of this page. Your continued use of our website or services after any changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, please stop using our site and services.
